Terms of Service
These terms govern your use of Radhi Woul as a vendor, customer or agent. Please read them alongside our Privacy Policy.
These Terms of Service ("Terms") are a legal agreement between you and Arismeta, the company that builds and operates Radhi Woul ("Radhi Woul", "we", "us", "our"). They govern your access to and use of our website, vendor dashboard, customer web app and agent app (together, the "Platform") as a vendor (a scrap collection business), a customer (booking a pickup) or an agent (field staff completing pickups). By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract under Indian law to use the Platform.
- You're responsible for the accuracy of the information you provide, and for keeping your login credentials confidential. You're responsible for all activity that happens under your account.
- Vendor accounts represent an independent business, not Radhi Woul or Arismeta, and must be registered by someone authorized to bind that business.
- We may refuse, suspend or terminate an account if information provided is false, incomplete, or can't be verified.
2. The role Radhi Woul plays
Radhi Woul is an operations, dispatch and payments platform. It connects independent scrap collection vendors with customers who want a pickup, and helps vendors manage their own agents, service zones, rates and schedules. Radhi Woul does not itself buy, sell, weigh, transport or take ownership of scrap material — every pickup is a transaction between a customer and the vendor who accepts it. Vendors are independent businesses responsible for their own pricing (within platform guardrails), staffing, and compliance with applicable scrap-trade regulations.
3. Vendor terms & verification
- KYB verification. Before a vendor account can go live and accept orders, we require a structured Know-Your-Business review — business registration, GST and PAN details, and any supporting documents we request. We may reject or revoke verification at our discretion if documents are incomplete, inconsistent, or raise compliance concerns.
- Rate guardrails. Vendors set their own rates per scrap category within minimum/maximum guardrails set by the platform, and must honor the rate shown to a customer at the time of booking.
- Service zones & capacity. Vendors define their own coverage area and order capacity, and are responsible for fulfilling orders they accept within that zone.
- Agents. Vendors are responsible for the agents they onboard and assign — including their conduct during a pickup, accurate weighing, and timely settlement to the customer.
4. Subscriptions & billing
Operating as a vendor requires an active subscription on the Starter, Growth or Enterprise plan described on our pricing page. Customers never pay to use the Platform.
- New vendors get a 14-day free trial with no card required; a paid plan is needed to keep receiving dispatched orders after the trial ends and KYB is approved.
- Subscriptions renew automatically for each billing cycle until cancelled. You can cancel at any time from your dashboard; cancellation takes effect at the end of the current billing cycle.
- Upgrades apply immediately and are billed pro-rata; downgrades take effect at the start of the next billing cycle.
- If a payment fails, we'll notify you and attempt to retry billing before any usage caps or feature limits are applied to an overdue account. Continued non-payment may lead to suspension under Section 13.
- Fees are exclusive of applicable taxes (such as GST), which are added at checkout where required. Subscription fees are described further in our Refund Policy.
5. Customer terms & pickups
- Booking a pickup is free and does not obligate you to sell — you can decline the quoted rate when the agent arrives.
- Rates shown before booking are estimates based on category; the final payout is calculated from the actual weight recorded at pickup.
- You're responsible for providing an accurate pickup address and being reasonably available in the scheduled window.
- Payment for accepted scrap is made by the assigned vendor, typically via instant UPI payout, at or shortly after the pickup.
6. Agent terms
Agents are onboarded and assigned to zones by a vendor, not by Radhi Woul directly, and their working relationship (employment, contract or otherwise) is between them and that vendor. Agents using the app must weigh and record pickups accurately, treat customers professionally, and follow the vendor's instructions and the zone/schedule assigned to them on the Platform.
7. Payments & payouts
All in-app payments — vendor subscription billing, customer payouts and vendor settlements — are processed through our payment partner, Razorpay. By transacting on the Platform, you also agree to Razorpay's applicable terms. Radhi Woul is not a bank or payment institution; we facilitate these transactions through our processor and are not liable for delays or failures caused by banking systems, UPI rails, or the payment processor itself, beyond what's required by law.
8. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose, or to collect, transport or sell prohibited, stolen, or hazardous material through it.
- Circumvent the Platform to complete a transaction off-platform in order to avoid fees, after being matched through it.
- Misrepresent your identity, business, weights, rates or KYB documents.
- Interfere with, reverse-engineer, or attempt to gain unauthorized access to the Platform or other users' accounts or data.
- Harass, threaten or behave unsafely toward any customer, vendor or agent.
9. Intellectual property
The Platform, including its software, design, branding and content, is owned by Arismeta and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of the content you submit (such as business documents or profile information), but grant us the right to use it to operate and improve the Platform.
10. Disclaimers
The Platform is provided "as is" and "as available." We do not guarantee that dispatch matching, pricing, or payouts will be uninterrupted or error-free, or that any particular vendor, customer or agent will fulfil their side of a transaction. Radhi Woul is a facilitator of the connection between vendors, customers and agents, and is not a party to the underlying sale of scrap material between a vendor and a customer.
11. Limitation of liability
To the maximum extent permitted by law, Arismeta and Radhi Woul will not be liable for indirect, incidental, special or consequential damages arising from your use of the Platform, including lost profits, missed pickups, or disputes over weight or rate between a vendor and a customer. Our total liability for any claim relating to the Platform is limited to the subscription fees you paid us in the three months preceding the claim, or ₹5,000, whichever is greater.
12. Indemnification
You agree to indemnify and hold Arismeta harmless from any claims, damages or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any law or third-party right — including, for vendors, claims arising from the conduct of agents you onboard.
13. Suspension & termination
We may suspend or terminate your access to the Platform, with or without notice, if you violate these Terms, fail to keep a subscription current, fail KYB verification, or if we reasonably believe your account poses a risk to other users or the Platform. You may stop using the Platform and close your account at any time; vendor subscriptions remain billable until properly cancelled per Section 4.
14. Governing law & disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of Srinagar, Jammu & Kashmir, without regard to conflict-of-law principles.
15. Changes to these terms
We may update these Terms from time to time to reflect changes in our practices, features or legal requirements. We'll post the revised version here with an updated "Last updated" date, and where changes are material, we'll take reasonable steps to notify you. Continued use of the Platform after a change takes effect means you accept the updated Terms.
